These Terms and Conditions govern your use of this Online Fundraising Website and any purchases made through:

Acceptance of Terms: By accessing or using www.resourcefundraisers.com, you agree to be bound by this Agreement. If you do not agree with any part of this Agreement, you should not use the www.resourcefundraisers.com. www.resourcefundraisers.com reserves the right to modify or update this Agreement at any time. Any changes to the Agreement will be effective immediately upon posting. Your continued use of www.resourcefundraisers.com after any modifications constitutes acceptance of the updated Agreement.

Services: www.resourcefundraisers.com agrees to provide fundraising services to the Non-Profit or fundraising organization in accordance with the terms and conditions outlined in this Agreement. The services may include but are not limited to online sales of products, managing fundraising campaigns, and providing promotional links and information.

Compensation: www.resourcefundraisers.com agrees to collect funds from the sale of products and compensate the Non-Profit or fundraising organization 30% of the total sales for the campaign.

Responsibilities and Representations: www.resourcefundraisers.com represents and warrants that it has the necessary skills, expertise, and resources to perform the fundraising services. The Non-Profit/fundraising organization acknowledges that the success of the fundraising efforts depends on various factors beyond the control of www.resourcefundraisers.com, and therefore, www.resourcefundraisers.com does not guarantee any specific results.

Product Information and Availability: www.resourcefundraisers.com endeavors to provide accurate and up-to-date information about the products available for purchase. However, www.resourcefundraisers.com does not warrant that the product descriptions, images, prices, or other content are 100% error-free.
Product availability is subject to change. www.resourcefundraisers.com does not guarantee the availability of all products at all times.

Fundraising Administrator (Affiliate): By starting and organizing a fundraiser through www.resourcefundraisers.com, you represent and warrant that you are legally capable of entering into a binding contract and providing accurate and complete information necessary for the fundraiser.

Pricing on the website: All prices displayed on the Online Store are in US Dollars and are exclusive of applicable taxes unless otherwise stated.

Customer Purchases: Payment for all purchases made through the website are required at the time of purchase. www.resourcefundraisers.com accepts All Major Credit Cards and Debit Cards, and all payments must be made in full before the order is processed and shipped.

Product Sourcing Timeline: All fundraising campaigns conducted on www.resourcefundraisers.com must submit final orders to the respective suppliers no later than 4 weeks before delivery date.

Shipping and Delivery: www.resourcefundraisers.com will make all reasonable efforts to ensure that the products are shipped and delivered in a timely manner. However, delivery times may vary depending on factors beyond the control of www.resourcefundraisers.com and the product sourcing companies.

Service area (100 mile radius from Resource Mulch): Deliveries for fundraisers through www.resourcefundraisers.com need to be within a 100 mile radius from Resource Mulch, 1596 Neubrecht Road, Lima, Ohio 45801.

Payout to Fundraising Organization: www.resourcefundraisers.com agrees to provide a 30% profit margin on all products sold during a fundraising campaign. The cost of delivery is included in the price of the product offered and will not affect the 30% profit margin. Payout of the 30% profits shall be remitted to the Non-profit or fundraising organization within 10 days from the delivery of the products to the drop location.

Mulch, Gift Cards, Pumpkins, and Mums/Flowers sourcing and delivery: RE:SOURCE RECYCLING INC., 1596 Neubrecht Road, Lima, Ohio 45801 [419.222.2702] agrees to produce, source and/or manufacture the Mulch, Gift Cards, Pumpkins and Mums offered on www.resourcefundraisers.com. Resource Recycling, Inc. is the guarantor of the product quality and delivery for all Mulch, Pumpkins, and Mums/Flower products purchased through www.resourcefundraisers.com.

Shirley’s Popcorn Sourcing and Delivery: Shirley’s Gourmet Popcorn Company, 117 S. Main St., Bluffton, OH 45817 [419.230.7606] agrees to produce and deliver all Shirley’s Popcorn products directly to the Fundraising Drop Location. Resource Recycling, Inc. and Shirley’s Gourmet Popcorn Company have an operating agreement whereby Shirley’s Popcorn is the guarantor of the product quality and delivery for all Shirley’s products purchased through www.resourcefundraisers.com.

Sara’s Sweets Cupcake Sourcing and Delivery: Sara’s Sweets, 435 Eastown Road, Lima, OH 45805 [419.371.4745] agrees to produce and deliver all Sara’s Sweets products directly to the Fundraising Drop Location. Resource Recycling, Inc. and Sara’s Sweets have an operating agreement whereby Sara’s Sweets is the guarantor of the product quality and delivery for all Sara’s products purchased through www.resourcefundraisers.com.
***FRESHNESS GUARANTEE: Sara’s Sweets guarantees the freshness of all products, and all cupcakes are created 24 hours before delivery.

Elida Candle Company Sourcing and Delivery: Elida Candle Company, 327 S. Main St., Bluffton, OH 45840 [419.889.8992] agrees to produce and deliver all Elida Candle Company products directly to the Fundraising Drop Location. Resource Recycling, Inc. and Elida Candle Company have an operating agreement whereby Elida Candle Company is the guarantor of the product quality and delivery for all candle products purchased through www.resourcefundraisers.com.

Right to Refuse Service: The Product Sourcing Companies and www.resourcefundraisers.com, at their sole discretion, reserve the right to refuse to service a fundraising request submitted through the Fundraiser Website for any reason including but not limited to: cost of shipping to location, blackout dates due to extreme sales volume during peak season.
Shirley’s Popcorn Blackout dates: November 1 – January 31. All fundraising deliveries must be scheduled from February 1 – October 31.

Returns, Exchanges and Refunds: www.resourcefundraisers.com strives to provide high-quality products. If you receive a damaged or defective product, please contact www.resourcefundraisers.com 419.222.2702 [sales@resourcemulch.com] within 10 days of receipt to initiate a return, exchange or refund. www.resourcefundraisers.com and the product sourcing companies may require you to provide proof of purchase and return the product in its original packaging before a refund or replacement is issued. Refunds will be processed using the original payment method and may take 30 days to be credited.

Intellectual Property: The Product Sourcing Company and www.resourcefundraisers.com warrant that they have the necessary rights, licenses, and permissions to distribute and sell the Products on the Fundraiser Website. www.resourcefundraisers.com acknowledges that all intellectual property rights related to the Products, including trademarks, copyrights, or patents, shall remain the sole property of the Product Sourcing Company.

License: The Product Suppliers grant the Fundraising Organization a non-exclusive, royalty-free license to use the Product Supplier’s trademarks, logos, and other relevant intellectual property solely for the purpose of promoting and marketing the Products within the scope of the fundraising activities.

Confidentiality: Confidential Information: Both Parties may disclose confidential information to each other in the course of this Agreement. Confidential information includes, but is not limited to, proprietary business information, trade secrets, financial information, and customer data.

Non-Disclosure: The Parties agree to keep all confidential information received from the other Party confidential and not to disclose it to any third parties, except as required by law or with prior written consent.
Termination: Termination for Convenience: Either Party may terminate this Agreement at any time by providing written notice to the other Party. Termination for Breach: Either Party may terminate this Agreement in the event of a material breach by the other Party, provided that a written notice specifying the breach is given and a reasonable opportunity to cure the breach is provided.
Governing Law and Jurisdiction: This Agreement shall be governed by and construed in accordance with the laws of Ohio. Any disputes arising out of or in connection with this Agreement shall be submitted to the exclusive jurisdiction of the courts of Ohio.

Limitation of Liability: To the maximum extent permitted by law, Resource Recycling Inc. and its affiliates, directors, employees, agents, and suppliers shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with your use of the Online Store or any products purchased through it. In no event shall Resource Recycling Inc.’s total liability for all damages, losses, or causes of action exceed the amount paid by you, if any, for the products purchased through www.resourcefundraisers.com.

Severability: If any provision of this Agreement is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

Entire Agreement: This Agreement constitutes the entire understanding between the Parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether oral or written.
